Terms of Service

1. Acceptance of Terms

By creating an account, starting a trial, or purchasing a subscription to GPM Companion, you agree to these Terms of Service on behalf of yourself and, if applicable, the organization you represent. If you do not agree, do not use the service.

2. The Service

GPM Companion ("the Service") is a real-time, browser-based dashboard for live-event presentation and show-calling, provided by JJ Sports Entertainment, Inc. ("JJ Sports Entertainment," "we," "us"). The Service includes live clocks, a decibel meter, a notepad, research and AI search tools, team messaging integrations, document storage, and related features described in the product's own Getting Started Guide.

3. Accounts and Eligibility

You must be at least 18 years old to purchase a subscription. A subscription owner may invite up to two teammates to share the same license (three seats total); each teammate completes their own account activation (name, password, and a one-time verification code) and is bound by these Terms individually. The owner is responsible for who they invite and for removing a teammate's access when appropriate. A subscription also includes up to two read-only "View-Only" accounts that let a person watch the owner's live dashboard without operating it; View-Only invitees complete the same account activation, are bound by these Terms individually, and cannot change the dashboard. Each account is intended for one person. Teammate and View-Only accounts may be signed in on one device at a time, and the subscription owner may be signed in on up to two devices at a time (for example, a tablet and a phone); signing in beyond that limit signs the oldest session out automatically. You are responsible for keeping your login credentials confidential and for all activity under your account.

4. Subscription, Free Trial, and Billing

Free trial. New subscriptions include a 7-day free trial. A valid payment card is required to start the trial. Day one is the moment you complete checkout; the trial ends at 11:59 PM (in your account's set time zone) on the seventh day after that, regardless of what time you signed up.

One trial per customer. The free trial is intended for genuine evaluation. We may use signals such as payment-card fingerprints, normalized email addresses, and other account information to detect repeated trial sign-ups. If we believe a trial is being abused, we may deny or end the trial, limit features during a trial, or suspend the account, and you can contact [email protected] if you believe this was a mistake.

What you're charged and when. If you do not cancel before the trial ends, your card is automatically charged $399.00 USD at that time, your subscription converts to a paid annual plan covering three seats, and you have access to the Service for the full year that follows. Your subscription then renews automatically every year on that same date, at the then-current price, until you cancel.

How to cancel. You can cancel at any time from Account Settings inside the app — the Cancel Subscription button is available to the subscription owner at every stage, including during the trial. Canceling during the trial stops the charge entirely; you will not be billed. Canceling after your subscription has converted to paid stops future renewals, but you keep access through the end of the period you already paid for.

Price changes. We will give you at least 30 days' notice by email before any price increase takes effect on your next renewal.

Payment processing. Payments are processed by Stripe, Inc. We do not store your full card number. See our Privacy Policy for how Stripe and other processors handle your data.

5. Refunds

After your free trial ends, your card is charged the full annual subscription fee and you have access to the Service for the full year that follows. All payments are final. Except where required by applicable law, we do not offer refunds — in full or prorated — for any unused portion of a billing period, including if you cancel partway through the year, downgrade, stop using the Service, or remove a teammate seat before the year is up.

6. Acceptable Use

You agree not to: use the Service for any unlawful purpose; attempt to reverse-engineer, decompile, or extract the Service's source code; share your account credentials outside your licensed seats; create multiple trials or accounts to avoid paying for the Service, or otherwise abuse the free trial; or use the Service in a way that could disable, overburden, or impair it for other customers.

7. Your Content

You retain ownership of everything you upload or create in the Service — team documents, voice notes and their transcripts (stored on your device), notepad entries, Reads/Promos templates, event branding (event name and date, logo, background image, colors), event summary details you enter (such as event date, time, attendance, highlights, and opportunities), and similar content ("Your Content"). You grant us a limited license to store, process, and display Your Content solely to provide the Service to you. We do not use Your Content to train AI models, and we do not sell it.

You are responsible for having the rights to anything you upload, including any team documents, music, or media library catalogs.

8. Our Intellectual Property

The Service itself — its software, design, and GPM Companion branding — is owned by JJ Sports Entertainment, Inc. and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or branding outside of normal use of the Service.

9. Third-Party Integrations

The Service optionally connects to third-party tools you choose to link, including Slack, Microsoft Teams, and your own AI Search provider (via an API key you supply). Your use of those third-party services is governed by their own terms, not ours. We are not responsible for their availability, accuracy, or content.

10. Disclaimers

The Service is provided "as is." Specifically:

The Decibel Meter is not a calibrated sound-level measurement device. Its readings are for general reference only and must not be relied on for occupational hearing-safety compliance, OSHA/NIOSH thresholds, or any other safety-critical purpose. Use a certified sound-level meter for anything safety-critical.

Weather information is sourced from third-party data and may be inaccurate or delayed.

We do not guarantee the Service will be uninterrupted, error-free, or available at all times, particularly during a live event where internet connectivity is outside our control.

11. Limitation of Liability

To the maximum extent permitted by law, JJ Sports Entertainment, Inc. will not be liable for indirect, incidental, special, or consequential damages, including lost profits or lost data, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the claim arose.

12. Termination

We may suspend or terminate your access if you materially violate these Terms. You may stop using the Service at any time by canceling your subscription as described above.

13. Governing Law, Dispute Resolution, and International Use

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules.

Dispute Resolution — Binding Arbitration and Class Action Waiver. Except for claims that may be brought in small claims court, you and JJ Sports Entertainment, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, and the Federal Arbitration Act governs the interpretation and enforcement of this clause. This arbitration agreement applies as soon as you accept these Terms, with no opt-out period. YOU AND JJ SPORTS ENTERTAINMENT, INC. EACH AGREE THAT ANY DISPUTE WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator's decision will be final and binding, subject only to the limited review available under the Federal Arbitration Act. Arbitration will be seated in New Jersey, or conducted remotely/by phone or video where the AAA's rules permit, unless both parties agree otherwise.

International use. The Service is operated from the United States. If you access or use the Service from outside the United States, you do so on your own initiative and are responsible for complying with local laws that apply to you. Nothing in these Terms limits any consumer protection rights you have under the mandatory law of your country of residence that cannot be waived by contract — where such mandatory local rights conflict with a provision of these Terms, your local rights control to the extent required by that law.

By using the Service, you consent to your information being transferred to, stored, and processed in the United States, as described in our Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
